Intellectual Property & Portfolio Policy
We build custom software, web platforms, and brand identities for founders and growing companies. This document outlines how ownership, licensing, pre-existing code, and portfolio showcases are governed.
Foundational Principles
At BizChefs, our philosophy is straightforward: when a client pays in full for a commissioned digital build or brand identity, they own their bespoke deliverables.
To provide certainty and prevent misunderstandings, we distinguish among four distinct asset categories: bespoke project deliverables, pre-existing tools, open-source libraries, and client-provided assets.
Ownership of Client Deliverables
Upon receipt of full and final payment under an executed Statement of Work (SOW):
- Custom Code & Applications: All custom frontend and backend source code, schema designs, and bespoke software built specifically for the client are assigned to the client.
- Brand Assets & Graphic Designs: Final approved logo marks, brand guidelines, color palettes, vector typography layouts, and marketing assets are fully transferred to the client.
- Source Files: Production repositories, build files, and exported graphic deliverables are transferred to client-owned accounts upon project sign-off.
BizChefs' Pre-Existing IP & Frameworks
BizChefs maintains proprietary starter architectures, workflow scripts, reusable utility functions, deployment recipes, and generic design tokens developed independently of any specific client engagement ("Pre-Existing Materials").
BizChefs retains all rights in its Pre-Existing Materials. Where Pre-Existing Materials are incorporated into client deliverables, BizChefs grants the client a perpetual, worldwide, non-exclusive, royalty-free licence to use, execute, modify, and maintain those materials as part of the delivered project.
Third-Party & Open-Source Libraries
Modern digital systems utilize open-source frameworks (e.g. Next.js, React, Tailwind CSS, Lucide icons). These components remain subject to their respective open-source licences (typically MIT or Apache 2.0). BizChefs ensures that all third-party dependencies deployed in commercial projects comply with permissive, commercially viable licensing requirements.
Client-Provided Content & Licences
The client retains full ownership of all text, images, trademarks, data, and materials supplied to BizChefs for inclusion in the project. The client grants BizChefs a non-exclusive license to use these materials solely to perform the agreed services.
Portfolio Showcase & Case Studies
Demonstrating real work is essential to our business development. Unless otherwise agreed in an executed Non-Disclosure Agreement (NDA) or contract clause:
- Public Showcase: Following public launch, BizChefs may display high-level visual screenshots, link to the public domain, and describe the non-confidential technical scope of the project in our portfolio.
- Confidentiality Respected: We never disclose unreleased products, proprietary algorithms, financial figures, customer databases, or confidential business strategy without explicit written authorization.
- Opt-Out: If a client requires strict confidentiality (e.g. stealth startups or white-label agreements), a private white-label clause or mutual NDA is established prior to kickoff.
Client Confidentiality & NDA Alignment
BizChefs treats all proprietary technical information, business workflows, and data exchanged during project delivery as confidential. We readily sign mutual Non-Disclosure Agreements (NDAs) prior to architectural discovery.
